Welcome to the Little Angel Medical Ambassador Program (the "Program"). These Terms govern your participation. By applying to or participating in the Program, you ("Ambassador," "you") agree to be bound by them.
1. Eligibility
You can join if you create content or write a newsletter whose audience is mainly parents of children aged 0 to 11 in the United States, Canada or the United Kingdom. You don't need to be a parent yourself.
To participate you must:
- Be at least 18 years old and legally able to enter into a contract;
- Maintain at least one active public social media account or comparable audience channel;
- Complete tax and payout onboarding (Section 6) before any commission is paid;
- Comply with all applicable laws, including the FTC Act and the FTC's Endorsement Guides (16 CFR Part 255) and the equivalent rules in Canada and the United Kingdom (Section 8).
We may approve, deny, suspend, or terminate any application or account at our discretion.
Healthcare professionals. If you are a licensed clinician, you must additionally comply with your professional body's advertising and endorsement rules and must not present LAM as clinically endorsed by your employer, hospital, or licensing body.
2. Your Tracking Assets
On approval you receive:
- A unique referral link for use in bios, captions, and link-in-bio pages;
- A QR code that opens your referral link, for flyers, handouts, and in-person programs; and
- A unique offer code tied to an Ambassador-specific offer, which gives your audience 20% off their first year on the yearly plan ($119.99 instead of $149.99) or 20% off their first month on the monthly plan ($19.99 instead of $24.99, then $24.99 a month). The discount applies only to the first payment on either plan, and later payments are charged at the standard price at that time.
Attribution is deterministic and code-based. A referral is credited to you only when a new user redeems your offer code or installs and subscribes through your link or QR code within the attribution window of 30 days from first click or scan. We do not use device fingerprinting, and we do not guarantee attribution where a user clears the link, switches devices, subscribes outside the attribution window, or redeems a different Ambassador's code. Where more than one Ambassador could claim a referral, a redeemed offer code takes priority; otherwise the most recent link click or scan within the attribution window applies.
You may not change, alter, share, or resell your code, link, or QR code. Codes are limited in supply and are subject to the rules of the app stores and payment platforms we use, which may change without notice. We may retire and replace any code that has been shared beyond your own channels; subscriptions already attributed to you are not affected.
3. Commission: Initial and Recurring
3.1 What you earn
Your commission is 30% of Subscription Revenue on every payment made by a subscriber attributed to you, on any subscription plan we designate as eligible. This includes the first payment and every renewal, for as long as that subscription renews without interruption. There is no cap on the number of renewals and no fixed end date, subject to Sections 3.4 and 10.
3.1a Plan changes
- Switching plans. If a subscriber attributed to you switches between eligible plans while still subscribed, attribution continues. You earn 30% of Subscription Revenue on each payment under whichever plan they are on.
- No reset. A plan change does not reset attribution or restart the Section 3.4 window.
3.2 Qualifying Subscription
A Qualifying Subscription is a paid subscription to LAM that is:
- purchased by a new user who has not previously held a paid LAM subscription;
- correctly attributed to you under Section 2;
- on a subscription plan we designate as eligible; and
- paid for by the end user out of their own funds.
The following are not Qualifying Subscriptions:
- Subscriptions purchased by you, your household, your employees, or accounts you control;
- Subscriptions provided, reimbursed, or paid for by an employer, health plan, insurer, or other organization under a LAM business agreement (including any B2B2C or benefits channel);
- Subscriptions obtained through free trials that never convert to payment;
- Subscriptions from bot traffic, incentivized traffic, coupon or deal aggregation sites, or any fraudulent or deceptive method;
- Subscriptions from users who were already in any LAM trial (free or paid) or subscription when they redeemed your code or used your link, or who previously subscribed through an employer, health plan, or other LAM business channel;
- Resubscriptions by users whose attribution has ended under Section 3.4.
3.3 Subscription Revenue
Subscription Revenue means the subscription price actually charged to the user for a given billing period. It is calculated:
- before any commission charged by the app store or payment platform through which the subscriber pays, which LAM bears in full;
- after any discount, promotion, or offer applied to that billing period, including the discount delivered by your own code;
- excluding sales tax, VAT, GST/QST, and other transaction taxes; and
- net of refunds, credits, chargebacks, and payment-processing reversals (see Section 5).
Because your audience’s discount applies only to the first payment (the first year on the yearly plan or the first month on the monthly plan), your commission on that first payment is lower than on later payments, even though the 30% rate does not change. On the monthly plan, the first payment of $19.99 earns you $6.00 (30%), then every monthly payment of $24.99 earns you $7.50.
Worked example (the yearly plan at $149.99 a year):
| First year (with 20% off) | Every renewal | |
|---|---|---|
| User pays | $119.99 | $149.99 |
| Your commission (30%) | $36.00 | $45.00, every time |
Worked example (the monthly plan at $24.99 a month):
| First month (with 20% off) | Every month after | |
|---|---|---|
| User pays | $19.99 | $24.99 |
| Your commission (30%) | $6.00 | $7.50, every month |
3.4 When recurring commission ends
Recurring commission on any subscription continues while that subscription renews without interruption. If it lapses, is cancelled, or fails to renew for more than 60 consecutive days, your attribution to that user ends permanently. If that user later resubscribes, whether through a LAM win-back offer, another Ambassador's code, or a paid campaign, no commission is due to you on the new subscription.
The 60-day window is set to match the platform's billing-retry period, so a subscription that recovers from a failed payment does not cost you your attribution.
3.5 Rate changes
We may change the commission rate, eligible plans, or offer structure at any time. Any change applies only to subscriptions first attributed to you after the effective date of the change. Subscriptions already attributed to you before that date continue at the rate in effect when they were attributed. We will give you 30 days' notice of any change by email.
Plan changes and successor plans. If we retire, rename, restructure, or replace an eligible plan and an existing subscriber attributed to you is moved onto a successor plan, that subscription is treated as continuing, not as a new subscription. Your recurring commission follows it at the rate that applied before the migration, calculated on the Subscription Revenue of the successor plan. This applies however the migration is effected, including where it requires the subscriber to accept a new plan or a new price. A successor plan does not reset attribution, restart the Section 3.4 window, or extinguish recurring commission.
3.6 No sub-affiliates
The Program is single-tier. You do not earn commission on other Ambassadors you recruit, and you may not present the Program as an income opportunity, business opportunity, or recruitment network.
4. Reporting and Data
You will have access to a dashboard on our ambassador platform showing, in aggregate: subscriptions attributed to you, active subscriptions, renewals, refunds, and commissions accrued and paid.
We will never provide you with the identity, contact details, health information, or child-level data of any referred user. All reporting is aggregate. You may not attempt to identify, contact, or match individual referred users, and you may not represent to your audience that you can see their activity in the app.
Our records of attribution and revenue are the controlling record, absent manifest error.
5. Reversals and Clawbacks
Commissions are reversed where the underlying payment is refunded, charged back, or reversed, or where the subscription is later determined to be non-qualifying or fraudulent. Reversals are deducted from your next payout. If your balance is insufficient, you agree to repay the difference on request.
Payment holds. We may withhold payouts while we investigate suspected fraud, non-qualifying subscriptions, or a breach of these Terms. If the investigation clears you, withheld amounts are paid on the next payout date.
6. Payment Terms
- Schedule: commissions are grouped by the date of the payment they come from, in monthly periods running from the 16th of one month to the 15th of the next. Each period's commissions are paid on the 15th of the following month. For example, commissions from payments made between September 16 and October 15 are paid on November 15, so a payment on October 10 is paid November 15 and one on October 20 is paid December 15. Refunds and reversals that arrive after a payout are deducted from a later payout under Section 5.
- Minimum payout: USD $50. Balances under $50 roll over to the next payout date (the 15th of the following month) and do not expire.
- Currency and method: commissions are calculated in US dollars and paid through our ambassador platform, using the payout method and currency you choose from those available in your country. LAM pays the transfer fees charged by the payment provider, except that if you live outside the United States and choose to be paid in US dollars, the provider's international transfer fee is deducted from that payout. Currency conversion fees set by your bank or chosen payout currency are your responsibility.
- Tax information: you must provide the tax information and forms we or our ambassador platform request before your first payout. We may withhold, deduct, or report payments where required by law. You are responsible for your own taxes.
- Unclaimed balances: if your payout details are invalid or you do not respond to payout requests for 12 months, we may treat the balance as forfeited and end all future commissions, to the extent permitted by law.
7. Content Standards: Medical Claims
This section is the most important part of these Terms. LAM is a pediatric health app used by parents making decisions about children. Under the FTC's Endorsement Guides and Health Products Compliance Guidance, statements you make about LAM are treated as LAM's own advertising claims, and both of us can be held liable for them. FDA also treats marketing claims as evidence of a product's intended use.
7.1 You must not say or imply
- That LAM diagnoses, treats, cures, prevents, or rules out any illness, injury, or condition;
- That LAM is a substitute for a pediatrician, nurse, emergency department, or 911;
- That a parent can avoid, delay, or skip professional medical care because of what LAM told them;
- That LAM is FDA-approved, FDA-cleared, clinically validated, or medically endorsed, unless we have given you that specific claim in writing;
- That LAM detects, screens for, or is accurate at identifying any named condition;
- Any specific outcome, statistic, saving, or accuracy figure that we have not given you in writing.
7.2 You must
- Base your content on your own genuine use of and opinion about the app;
- Include a short medical disclaimer in the caption of every post promoting LAM, such as “Not medical advice. Check with your doctor.” You may use your own words as long as the meaning stays the same. Stories don’t need it.
7.3 Personal stories about children
You may share your own experience as a parent. You may not:
- Describe a specific episode in which LAM's guidance led you to seek or not seek care, in a way that implies LAM made the clinical call;
- Feature a child who is not your own without that child's parent's or guardian's written consent;
- Post identifiable images of a sick or injured child alongside a claim about what LAM said;
- Present yourself as giving medical advice to your audience.
7.4 General conduct
Your content must not contain profanity, nudity, hate speech, harassment, discriminatory material, or anything that brings LAM into disrepute. It must not target children as an audience.
We may require you to edit or remove any content, and you agree to comply within 24 hours of notice.
8. Required Disclosure
You must clearly and conspicuously disclose your paid relationship with LAM in every post, video, story, email, or livestream that mentions LAM or uses your code or link. You have a paid relationship even before you earn any commission, because you receive the full LAM app free for 6 months. Disclosure is required by law and is a condition of payment.
- Use plain terms: "Ad," "#ad," "Paid partnership," "Sponsored," or "I earn a commission if you subscribe." Terms like "#collab," "#partner," "#thanks" are not sufficient.
- Photo and carousel posts: put the disclosure before the code or link, at the start of the caption, not behind a "more" link and not buried in hashtags. The platform label alone is not sufficient.
- Videos: disclose verbally or on screen ("ad" or "paid partnership") at the start of the video, before or when LAM first comes up. Then either turn on the platform’s paid partnership label or put the disclosure at the start of the caption.
- Stories: show "Ad" on the Story, or use the platform’s paid partnership label.
- Emails, blogs and other written content: put the disclosure before the code or link.
- Newsletters and blogs: put "Ad" or "Affiliate link" right next to the LAM mention or link in the issue or post, and include "Not medical advice. Check with your doctor." near it.
These rules reflect the FTC’s Endorsement Guides (16 CFR Part 255) in the United States, the Competition Act and Ad Standards’ Influencer Marketing Disclosure Guidelines in Canada, and the CAP Code and ASA and CMA guidance in the United Kingdom. Where local law requires more, follow local law.
We monitor Ambassador content. Undisclosed content may result in withheld commissions and termination.
9. Prohibited Practices
Each of the following is a material breach:
- Bidding on, or targeting, search terms containing "Little Angel Medical," "LAM," the app name, or any misspelling or variant, on any paid search or advertising platform, alone or combined with terms like "coupon," "code," "discount," "review," "vs," or "alternative";
- Running paid advertising that lands directly on a LAM-owned page or App Store listing (all paid traffic must land first on a page you own and operate);
- Using LAM trademarks, logos, product imagery, or app screenshots in paid ad copy, headlines, display URLs, or creative without our prior written approval;
- Building advertising audiences seeded with LAM search terms or LAM site or app visitors;
- Posting your code or link on coupon, deal, or discount aggregation sites, or on public code-sharing forums, threads, or groups outside your own channels;
- Bots, click farms, incentivized installs, or any artificial traffic;
- Creating accounts, handles, domains, or app listings that imply you are an official LAM channel;
- Unsolicited commercial email or SMS;
- Self-referral, household referral, or reselling access to LAM.
Engaging an agency or media buyer does not reduce your responsibility. You are responsible for their conduct as your own.
Before running any paid advertising for LAM, you must notify us in writing and receive written approval. Silence is not approval.
10. Term and Termination
By you. You may leave the Program at any time on written notice.
By us for cause. We may terminate immediately for any material breach, including any breach of Sections 7, 8, or 9, or any fraudulent or deceptive activity. On termination for cause, all pending and future commissions are forfeited, including recurring commissions on previously attributed subscriptions.
By us without cause. We may end your participation without cause on 30 days' written notice. Recurring commissions on subscriptions attributed to you before that date continue under Section 3 for as long as those subscriptions keep renewing, subject to the conditions below. Ending your participation stops you earning on new referrals; it does not cancel what you have already earned.
If you leave voluntarily. Recurring commissions on subscriptions attributed to you before you leave continue under Section 3 for as long as those subscriptions keep renewing, subject to the conditions below.
Program discontinuation. If we discontinue the Program entirely, recurring commissions on subscriptions attributed before the discontinuation date continue under Section 3 for as long as those subscriptions keep renewing, subject to the conditions below.
Conditions on continuing commissions. Where commissions continue after your participation ends, they do so provided you: (a) keep valid payout and tax details on file and update them when they change; (b) respond to reasonable verification or tax requests within 30 days; (c) remove or clearly deactivate promotional content on request; and (d) remain in compliance with Sections 7, 8, and 9 in respect of any content that stays live. Commissions continue to be subject to Sections 3.4, 5, and 6, including the payment schedule, the $50 minimum, and the dormancy rule in Section 6. If we later discover conduct that would have justified termination for cause, the forfeiture in this Section applies retroactively.
Death or dissolution. Recurring commissions end automatically if you die or, if you participate as a business, if that business is dissolved or stops operating. We may, at our sole option, pay your estate or successor a lump sum calculated as described in the buy-out below.
Buy-out of recurring commissions. LAM may, at any time and at its sole option, discharge its recurring commission obligation to you in full by paying you a lump sum equal to two (2) times the total commissions earned by you, net of refunds and reversals, over the preceding twelve (12) months, on 60 days’ written notice.
This right may be exercised for an individual Ambassador or for all Ambassadors at once. On payment of the lump sum, all further commission obligations to you end, and Sections 3.1 and 10 no longer apply to your previously attributed subscriptions. All other provisions of these Terms that survive termination continue to apply. Unless we agree otherwise in writing, your participation in the Program also ends when the lump sum is paid.
If you have been in the Program for less than twelve months, the lump sum is calculated by annualizing the commissions earned since you joined: we divide them by the number of full months you have participated (minimum three) and multiply by twelve.
Change of control. If LAM is acquired, merges, or sells substantially all of its assets, we may either (a) assign these Terms and the recurring commission obligation to the acquirer, who will be bound by them, or (b) exercise the buy-out right above.
Survival. Sections 4, 5, 6, 11, 12, 13, 14, 15, and 16 survive termination.
11. Intellectual Property
Our marks. We grant you a limited, non-exclusive, non-transferable, revocable licence to use LAM's name, logo, and approved marketing assets solely to promote LAM under these Terms, in organic content only. This licence does not extend to paid advertising (Section 9) and terminates when your participation does.
Your content. By participating, you grant LAM a limited, non-exclusive, worldwide, royalty-free, irrevocable licence to repost, share, and use your LAM-related Content on LAM's owned and operated channels, including our website, social media, email marketing, app, and sales materials, for organic promotional purposes. We will credit you by name or handle when we share it. This includes the right to use your name, likeness, handle, and voice as contained in that Content. The licence covers Content created during your participation and survives termination; it does not extend to paid advertising without your separate written consent.
Partnership ads. If you send LAM a partnership ad code for a post (for example Instagram’s partnership ad code or a TikTok Spark Ads code), that is your written consent for LAM to run that post as a paid ad for as long as the code stays active. You choose the code’s duration and can revoke it at any time to stop future ad delivery. LAM pays for the ads. Qualifying Subscriptions from families who sign up through the ad with your code or link earn your normal commission. Keep your disclosure in the original post.
You confirm you own or have cleared all rights in your content, including music, third-party footage, and the likeness of any person appearing in it.
12. Confidentiality
You may receive non-public information, including unreleased features, commission structures, roadmap, clinical content, and internal metrics. You agree to keep it confidential and not disclose it without our written consent. This obligation continues for 3 years after your participation ends, and indefinitely for any clinical content, model logic, or triage material.
13. Independent Contractor
You are an independent contractor. Nothing here creates employment, partnership, agency, or joint venture. You have no authority to bind LAM, make commitments on its behalf, or hold yourself out as a LAM employee or spokesperson. You are responsible for your own expenses, equipment, insurance, and taxes.
14. Indemnification
You will defend, indemnify, and hold harmless LAM and its officers, directors, employees, and agents from any claim, damage, liability, cost, or expense (including reasonable legal fees) arising from: (a) your content or conduct; (b) your violation of any law, regulation, or FTC guideline; (c) your breach of these Terms; or (d) any claim that your content infringes a third party's rights.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LAM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST REVENUE OR PROFITS, ARISING FROM THESE TERMS OR THE PROGRAM. LAM'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
We make no warranty about the Program, the app, the tracking systems, or any third-party platform (including app stores, payment platforms, and our ambassador platform), and we disclaim all implied warranties. We are not responsible for attribution failures caused by platform changes, user behaviour, or technical issues outside our control.
16. Governing Law and Dispute Resolution
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules.
Arbitration. Any dispute arising out of or relating to the Program or these Terms will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Consumer or Commercial Arbitration Rules, as applicable, seated in Wilmington, Delaware, before a single arbitrator.
Class action waiver. Proceedings will be conducted on an individual basis only. You and LAM each waive any right to participate in a class, consolidated, or representative action, and waive any right to a jury trial.
Small claims. Either party may bring an individual claim in small claims court instead of arbitration.
17. Changes to These Terms
We may modify these Terms at any time. We will post the updated version and notify you by email at least 30 days before changes take effect. Changes to commission rates apply prospectively only, as set out in Section 3.5. Continued participation after the effective date means you accept the change. If you do not accept, your remedy is to leave the Program, and Section 10 ("If you leave voluntarily") applies to subscriptions already attributed to you.
18. General
Entire agreement. These Terms, together with any written approvals we give you, are the entire agreement between us on this subject.
Assignment. You may not assign your rights or obligations, including your right to receive commissions, without our written consent. We may assign as set out in Section 10.
Severability. If any provision is unenforceable, the rest remains in force.
No waiver. Our failure to enforce a provision is not a waiver of it.
